    LONDON (MarketWatch) -- Comtech Telecommunications Corp. said that it has agreed to acquire Radyne Corp. for $223.6 million. Comtech will make a first step cash tender offer at $11.50 per share, which represents a premium of approximately 33% over Radyne's average closing price over the last ninety trading days. This will be followed by a merger at the same price. The acquisition is expected to be accretive to adjusted earnings per share within twelve months of closing, and significantly accretive, on an annual basis, thereafter.

    Radyne Corp's second-quarter net income declined 16% to $2.65 million, or 14 cents a share, from a year-earlier profit of $3.16 million, or 17 cents a share. The Phoenix-based data transmission equipment company's net sales declined to $34.3 million from $34.6 million. Wall Street expected a second-quarter profit of 13 cents a share on sales of $32.4 million, according to Thomson Financial. Radyne expects to complete its $18.5 million acquisition of AeroAstro Inc. within the next few days.
