(TSX: MAG)(NYSE-A: MVG) ("MAG") is responding to certain comments made during the Fresnillo analyst call held yesterday to discuss Fresnillo plc's announcement of its intention to acquire all of the outstanding shares of MAG not presently held by Fresnillo and its affiliates for US$4.54 per share.

    MAG Silver Corp. (TSX: MAG)(NYSE-A: MVG) ("MAG") announced today that it has been advised of the intention of Fresbal Investments Ltd. ("Fresbal"), a subsidiary of Fresnillo plc, to make an unsolicited take-over bid for all of MAG's outstanding common shares not currently held by Fresnillo and its affiliates at an offer price of US$4.54 cash per share. Fresnillo is MAG's joint venture partner in the Juanicipio Joint Venture and, together with its affiliates, is the holder of approximately 19.8% of MAG's outstanding common shares.

    MAG Silver Corp. (MVG) jumped 13% on Tuesday morning after receiving a takeover bid from Fresbal Investments Ltd., a subsidiary of Fresnillo plc (FNLF.PK), who currently owns about 20% of MAG.

    The stock was up C$0.66 to C$5.62 approaching the noon hour in Toronto, which is just about even with Fresbal's $4.54 per share offer when the exchange is considered.

    MAG Silver Corp. (MVG) stock jumped 18% Tuesday morning following the news that Fresnillo Plc (FNLPF.PK), the world's largest primary silver producer, increased its stake in MAG.

    Fresnillo said it acquired five million common shares of MAG at C$5.31 per share, bringing its total MAG holdings, including shares owned by affiliate Penoles, to 7,233,593 common shares, representing approximately 14.7% of MAG's common shares outstanding.
